Annual compliance
AnnualDue: Within 60 days of AGM (AOC-4 & MGT-7)
- Hold first AGM within 9 months of closing of first financial year; subsequent AGMs within 6 months
- File Form AOC-4 (financial statements) within 30 days of AGM
- File Form MGT-7 (annual return) within 60 days of AGM
- Get books of accounts audited by a practising Chartered Accountant
- Maintain statutory registers and minutes of meetings
Event-based compliance
As needed- File Form DIR-12 for change in directors within 30 days of change
- File Form CHG-1 for charge creation/modification within 30 days
- File Form INC-22 for change in registered office
- Update PAS-3 for allotment of securities within 30 days
Startup / DIPP exemptions
As applicable- Check eligibility under Section 446B for reduced penalties for startups / small companies
- File Form SH-7 for alteration of share capital
- Comply with Section 135 (CSR) if net worth / turnover / profit thresholds crossed
